In no event shall KOVA's total aggregate liability to you exceed the amount of one hundred Mexican pesos (MXN $100.00).

You agree to indemnify, defend, and hold harmless KOVA Operational Intelligence and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services, including questions regarding the existence, validity, or termination of these Terms, shall be resolved exclusively through binding arbitration administered in the City of Guadalajara, State of Jalisco, Mexico, before initiating any litigation proceedings.

Arbitration shall be conducted in Spanish or English (at the election of KOVA), before a single arbitrator with expertise in technology and commercial law, applying the procedural rules of the Centro de Arbitraje de México (CAM) or such other recognized arbitration body as KOVA may designate.

The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines otherwise.

You waive any right to a jury trial or to participate in any class action, collective action, or representative proceeding against KOVA. Claims must be brought on an individual basis only.

Notwithstanding the foregoing, KOVA may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use of the Site, misappropriation of intellectual property, or other irreparable harm.

KOVA Operational Intelligence reserves the right to modify, update, or replace these Terms of Use at any time and at its sole discretion. Changes become effective immediately upon posting to this page.

No waiver by KOVA of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by KOVA to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
